What a floral design studio MAY need before opening day

Q: Which licenses and permits should I expect for a floral design studio?

A: Let us walk through what your floral design studio may need, piece by piece, so nothing surprises you on opening day. It also lists the personal license or trade license of the person doing the work, because a business license alone does not cover that.

1. Business license: A business license for a floral designer MAY ask whether you sell arrangements retail, handle wedding and event orders, and whether you keep a studio or cooler at your address.
2. Home occupation permit: A home occupation permit MAY apply if flowers are cut and arranged at home, typically with limits on deliveries, buyer visits, refrigeration units and outdoor displays.
3. Sales tax permit: A sales tax permit MAY be needed because arrangements are taxable goods, and a resale certificate often covers wholesale flower buying.
4. Professional or trade license: Floral designer certification: Designers may pursue a professional floral certification demonstrating skill, though most places do not require a personal license for arranging flowers.
5. Event vendor registration: Setting up flowers at weddings and events may require registration or insurance proof requested by the venue.
6. Wholesale flower account: Wholesale suppliers usually ask for proof of a registered business before opening an account.
7. Delivery vehicle record: A short description of the vehicle that carries arrangements may be requested.
8. Employer registration: Once people are on the payroll, you MAY also need an employer ID, a withholding account and workers' compensation coverage.
9. Company papers: A DBA, an LLC or a tax ID number MAY make sense for your floral design studio, and we prepare all of these documents on this site, so everything can be ordered in one place.

Our service fee stays put. A business license order that also needs a home occupation permit or another permit still carries one service fee for us. What we do not cover are the upfront annual tax or application fees the govt charges; we find those applications and fill them out.

Why it is worth the paperwork

Fresh flowers fill a room with scent the moment the box opens, and brides and event hosts will happily pay for a centerpiece that makes guests gasp.

Opening day, imagined

Marguerite trimmed peonies under the Petal & Pine Floral sign and discovered the cooler was more crowded than her permit folder.

The reason owners form an LLC

A heavy vase topples at a reception and injures a guest, so without an LLC the claim might be paid from your own home equity.

Your numbers

Business code (NAICS): 453110 (Florists), 459310 under the 2022 update. This page lists 9 paperwork items for a floral design studio, and each one is marked as something you MAY need, since we confirm which apply.

Tip: Keep a cooler thermometer log and a simple delivery checklist to show professionalism to wedding planners.

I would send flowers to apologize for my invoice, but they would cost more.

Ready when you are: start your order and we will find out what applies to your floral design studio, fill out the applications and keep the paperwork moving.

You can choose to be a(n) Floral :

  • Sole Proprietor,
  • LLC,
  • Corporation or
  • Partnership.
After you decide and select your business entity, you need licensing.

Auburn Business Tax Registration ( Business License)
All businesses including home, online or mobile BUSINESS need a BUSINESS license because they are BUSINESSES.

A(n) Floral business doing business under an assumed business name in Placer County i.e. you are a business that uses a DBA doing business as trade name to trade that is other than the full legal (first and last -- full name) name of a sole proprietor or a name other than the LLC or Corporation business name need a(n) assumed business name certificate. Β  E.g. you venture into a(n) Floral business and you give it a trade name such as "Excellence Floral & Associates". You will need to register an assumed business name certificate.

In CA you need a resale ID ( AKA seller's permit) if you selling touchable items. Β (A.K.A state id, wholesale, resale, reseller certificate, about $39 for most states).
Seller's Permit

Note: All businesses need a federal tax ID number except sole proprietors that are not employers and are not independent contractors.
An independent contractor is a self employed business person that receives more than $600 per year from anyone of his or her clients.
IRS rule: The client must issue a 1099 form to the independent contractor and the independent contractor must have a federal tax ID. However, even sole owners may obtain a federal ID and use it as a business tax ID instead of using their own social security number as a business tax ID number.
However, all other licenses that apply to sole proprietors as discussed here are requited regardless of getting a federal tax ID number.

Also keep in mind that employers will need to obtain a federal EIN and a State EIN tax identificattion number. I.e., a CA Federal Tax Id Number ($29) Β and a(n) CA Β State Employer Tax NumberΒ Β

Instead of filing a fictitious business name DBA Filing (about $49 plus state and legal newspaper publication fees) in Auburn,Β Incorporate in CA Β orΒ form a(n) CA LLC
.Β

Filing a DBA is not required if you will set up an LLC or form a Corporation. If you will do business under your first and last legal name you will not need to get a fictitious business name.
Using any language that connotes additional owners in the name of the business makes filing a fictitious business name mandatory.

If you do form an Other llc or incorporate (about $49 plus state fees for most states) your Floral business instead of just filing a fictitious business name (dba), that insurs that you don't have personal liability for debts and civile liabililty arising from your business dealings and you will not have to record the Auburn business name. In lieu of recording a Placer County trade company name (our filing service fee includes trade name registration and newspaper legal publication for 4 weeks) you can also form a corporation in CA or form an CA LLC (starts @ $49 plus state fee for most states & includes bylaws for the corporation and Limited Liability operating agreement for the LLC that is required to open a business bank account). .
